How we work together.

Agreement

These Terms of Service (“Terms”) govern your use of Prime Circa, Inc.'s (“Prime Circa,” “we,” “us”) website at primecirca.com, its sub-domains (including vera.primecirca.com), and any related services (collectively, the “Services”). By using the Services, you agree to these Terms. If you do not agree, please do not use the Services.

The Services

Prime Circa builds AI agents for small businesses, including:

• Vanessa — an AI phone receptionist that answers calls for your business, plus the app at app.primecirca.com where you set her up and manage her.
• Vera — reputation monitoring, AI-drafted Google review responses, and a free Reputation Page.
• Future services (Valerie, Vivian, Vienna) as listed on primecirca.com.

Some Services are free (such as one-time online presence audits), and some are paid subscriptions. Pricing and current Service descriptions are on our website.

Acceptable use

You agree not to:

• Impersonate another business or person.
• Use our audits or services for businesses you don't own, operate, or have permission to act on behalf of.
• Reverse-engineer, scrape, or attempt to extract our AI models, prompts, or proprietary data.
• Use the Services to send spam, harassment, or content that violates law.
• Interfere with or disrupt the integrity or performance of the Services.

We may suspend or terminate access for violations.

Subscriptions and billing

• Paid Services are billed monthly in advance unless otherwise stated.
• Free trial. Subscriptions start with a 14-day free trial. A payment method is collected when the trial starts, but you are charged nothing until the trial ends. Cancel during the trial and you will not be charged. We remind you before the first charge.
• You can cancel anytime — there is no cancellation fee.
• Vanessa cancellations are refunded the unused portion of the current month right away, and billing stops. Your phone number stays active for a 7-day grace period — resume during that window to keep the same number. After 7 days the number is released and Vanessa stops answering. We retain your account and configuration for 3 months so you can return easily, after which your personal data is anonymized.
• For other Services, your subscription continues through the end of the current billing period and then ends; partial-month refunds are at our discretion.
• We may change prices with at least 30 days' notice. Existing subscriptions keep their current price through their next renewal.

Communications

If you provide a phone number or email address, you consent to Service-related messages from us. SMS-specific consent is handled separately (see our SMS Program page and Privacy Policy). You can opt out at any time by replying STOP to any text or emailing info@primecirca.com.

SMS terms & conditions

Program:Prime Circa account & setup messages. When you opt in — via the consent form at primecirca.com/sms or verbally on a recorded call to our published number — we send one-time account setup and secure checkout links you requested, plus related account notifications (setup confirmation, payment receipt, account alerts).

• Cancel anytime. You can cancel the SMS service at any time by texting STOP. After you send STOP, we will send a final message confirming you have been unsubscribed, and you will no longer receive SMS messages from us. To rejoin, sign up again through the opt-in flow at primecirca.com/sms.
• Help. If you are experiencing issues with the messaging program, reply HELP for more assistance, or reach us directly at info@primecirca.com or via primecirca.com/contact.
• Carriers are not liable for delayed or undelivered messages.
• Message and data rates may apply for any messages sent to you from us and to us from you. Message frequency varies (typically 1–3 messages per setup). If you have any questions about your text plan or data plan, contact your wireless provider.

AI outputs — important

Our Services use AI to generate content — review responses, audit findings, drafted messages, and more. AI may produce errors, omissions, or content that is inaccurate, biased, or inappropriate for your business's specific situation.

You are responsible for reviewing every AI-generated output before publishing or sending it. We design our flows so a human (you) approves every reply before it reaches a customer. Treat AI outputs as drafts, not final products.

Intellectual property

• Our content (logos, software, AI prompts, brand assets, this website) is owned by Prime Circa or licensed to it. You may not copy or use it without permission, except as needed to use the Services.
• Your content (your business data, the reviews you ask us to respond to, content you submit) remains yours. You grant us a limited license to process it for the sole purpose of providing the Services.
• AI-generated outputs we deliver to you for your business may be used freely by you for that business.

Disclaimers

The Services are provided “as is” and “as available.” To the maximum extent permitted by law, Prime Circa disclaims all warranties — express or implied — including merchantability, fitness for a particular purpose, non-infringement, accuracy, and availability.

Limitation of liability

To the maximum extent permitted by law, Prime Circa's total liability arising out of or related to the Services is limited to the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) one hundred US dollars ($100). Prime Circa is not liable for indirect, incidental, special, consequential, or punitive damages.

Indemnification

You agree to indemnify and hold Prime Circa harmless from claims arising from your misuse of the Services, your violation of these Terms, or your content infringing on a third party's rights.

Termination

Either party may terminate at any time. We may suspend or terminate your access immediately for violations of these Terms. Upon termination, sections of these Terms that reasonably should survive (intellectual property, disclaimers, limitation of liability, indemnification, governing law) will remain in effect.

Governing law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Disputes will be resolved in the state or federal courts of California.

Changes to these Terms

We may update these Terms. The “Effective” date at the top reflects the last revision. Material changes will be announced on primecirca.com. Continued use of the Services after changes means you accept the updated Terms.
